Welcome to Milkink Creative Studio. By engaging our services, you agree to the following terms and conditions, which govern all aspects of our professional relationship.

Project Schedule

• Initial Planning: A detailed project timeline will be established during the initial planning phase.
• Milestones: Key milestones and deliverables will be outlined, with deadlines for each phase of the project.
• Client Responsibilities: Clients must provide all necessary information, feedback, and approvals within the agreed-upon timeframes to ensure adherence to the timeline.

Revisions and Approval

• Revision Cycles: Each project includes a specified number of revision cycles. Additional revisions may extend the project timeline and incur extra fees.
• Approval Delays: Delays in client approvals will result in corresponding adjustments to the project schedule.

Studio Hours

• Business Days: Milkink Creative Studio operates Monday through Friday, 10:00 AM to 5:00 PM (local time).
• Holidays: The studio observes national holidays, during which no work will be conducted.

Communication

• Response Times: We strive to respond to client communications within 24 hours during business days.
• Meetings: Scheduled meetings will occur within our business hours unless otherwise agreed upon.

Delays

1. Project Schedule:

   • All projects will have an agreed-upon schedule outlined in the project proposal or contract.
   • Clients are responsible for providing necessary information, feedback, and approvals in a timely manner to adhere to the project timeline.

2. Client Delays:

   • If the client causes a delay by failing to meet deadlines for feedback, content submission, or approvals, Milkink Creative Studio reserves the right to extend the project timeline accordingly.
   • Any additional costs incurred due to client delays, including but not limited to additional resource allocation or expedited services, will be billed to the client.

3. Studio Delays:

   • In the event that Milkink Creative Studio anticipates a delay in the project timeline, we will inform the client as soon as possible, providing a revised schedule.
   • Clients will not be charged additional fees for delays caused by the studio unless additional services or expedited options are requested by the client.

Hold

1. Client-Initiated Hold:

   • Clients may request to place a project on hold. The request must be made in writing and specify the reason and expected duration of the hold.
   • Projects placed on hold for more than 30 days will incur a hold fee, the amount of which will be determined based on the project scope and duration of the hold.
   • Milkink Creative Studio cannot guarantee the same project team will be available once the hold is lifted.

2. Studio-Initiated Hold:

   • Milkink Creative Studio reserves the right to place a project on hold if the client fails to meet agreed-upon deadlines or payment schedules.
   • The client will be notified in writing, and the project will not resume until outstanding issues are resolved.

Revival Process

1. Requesting Revival:

   • To resume a project that has been on hold, the client must submit a written request to Milkink Creative Studio.
   • The request should include any updated requirements or changes in scope since the project was placed on hold.

2. Review and Confirmation:

   • Milkink Creative Studio will review the revival request and confirm the availability of resources and the project team.
   • Any changes in scope, timeline, or budget due to the hold period or client’s updated requirements will be communicated and agreed upon before work resumes.

3. Revised Schedule and Fees:

   • A revised project schedule will be created, taking into account the duration of the hold and any updated requirements.
   • Additional fees may apply for project revival, especially if significant changes in scope or expedited timelines are required.

4. Resumption of Work:

   • Once all outstanding issues are resolved, and any additional fees are agreed upon, Milkink Creative Studio will resume work on the project.
   • The client will receive regular updates according to the revised schedule until project completion.

Advance Payment

• 50% Advance: A 50% advance payment is required before the commencement of any project.
• Milestone Payments: Payments for subsequent milestones will be outlined in the project proposal.

Right to Charge 100%

• Full Payment Requirement: Milkink Creative Studio reserves the right to require 100% payment upfront for projects with a total value of less than $500 or for clients with a history of late payments.

Late Payments

• Penalties: Late payments will incur a penalty of 5% of the total project cost per week, commencing one week after the payment due date.
• Suspension of Services: Services may be suspended if payment is not received within two weeks of the due date.

Non-Refundable Payments

• Advance Payments: All advance payments are non-refundable.
• Completed Work: Payments for completed milestones are non-refundable, as they cover the work already delivered.

Dispute Resolution

• Negotiation: In the event of a dispute, both parties agree to negotiate in good faith to reach a resolution.
• Arbitration: If a resolution cannot be achieved through negotiation, the dispute will be referred to binding arbitration in accordance with the laws of the state in which Milkink Creative Studio is located.

Ownership

• Client Materials: The client retains ownership of all materials provided to Milkink Creative Studio.
• Studio Deliverables: Milkink Creative Studio retains ownership of all preliminary designs and concepts until final payment is received. Upon full payment, ownership of the final deliverables transfers to the client.

Usage Rights

• License: Milkink Creative Studio grants the client a non-exclusive, perpetual license to use the final deliverables for their intended purpose.
• Portfolio: Milkink Creative Studio reserves the right to showcase completed projects in our portfolio and marketing materials.

Confidential Information

• Non-Disclosure: Both parties agree to keep all confidential information received from the other party private and not disclose it to any third party without prior written consent.

Data Protection

• Compliance: Milkink Creative Studio complies with applicable data protection regulations to ensure the privacy and security of client data.
• Data Usage: Client data will be used solely for the purposes of completing the project and will not be shared with third parties without the client’s consent.

By engaging Milkink Creative Studio, you acknowledge that you have read, understood, and agreed to these Terms of Service. These terms ensure a clear and professional relationship, benefiting both the client and the studio.

If you contact us, we store contact data for a maximum of seven years for the purpose of processing requests in case of additional questions. We do not share this data without your consent. In the case of business contact with Milkink Creative Studio, all data from the contractual relationship will be stored until the expiration of the obligation to retain them according to tax legal provisions (7 years after the business contract or 7 years after the termination of the contractual relationship).
